Who is responsible

Phakama Ntsika Partners (Pty) Ltd is the responsible party for the personal information described here. We are a private holding company incorporated in the Republic of South Africa, and we take shareholdings in established South African businesses.

What we hold, and where it comes from

Names, roles and contact details. Correspondence with us and a record of meetings and calls. Information about a business and the people who own and run it, gathered while a transaction is being assessed or negotiated. Information needed to meet identification and verification obligations. Most of it comes from you directly. Some comes from advisers, counterparties and introducers acting for you, and some from public registers and published sources.

Why we hold it

To assess, negotiate and administer transactions and the businesses we hold an interest in. To correspond with the people we work with. To meet our legal, regulatory and tax obligations, including identification and verification requirements. And to establish, exercise or defend a legal claim.

Who we share it with

Advisers, counterparties, funders and service providers who need it for those purposes, and anyone the law requires us to give it to. We do not sell personal information and we do not share it for anyone else's marketing.

Information handled outside South Africa

Some of the services we use, including the provider that hosts our email, process information on servers outside the Republic. Where that happens, we satisfy ourselves that the recipient is bound by rules or a contract that provide an adequate level of protection, as section 72 of the Act requires.

How long we keep it

For as long as the purpose it was collected for requires, and thereafter for as long as the law requires us to keep it or a claim could still be brought. Records relating to a transaction are ordinarily kept for the periods set by company, tax and financial intelligence legislation.

Your rights

You may ask what personal information we hold about you, ask us to correct or delete it, object to our processing of it, and withdraw a consent you have given. Send the request to the Information Officer at info@phakamantsika.com. If you are not satisfied with how we deal with it, you may complain to the Information Regulator of South Africa.

This website

This website sets no cookies, runs no analytics, and loads no third party scripts or tracking of any kind. Nothing you do on it is recorded by us. The enquiry form opens a message in your own mail programme rather than sending anything to a server here, so nothing is submitted or stored until you choose to send that message yourself.

Confidentiality

An email from us, and anything attached to it, is confidential and is meant only for the person or entity it is addressed to. It may be legally privileged. If it has reached you by mistake, please tell the sender and delete it, and do not copy it, disclose it or act on it. Reading, distributing or using an email that was not addressed to you may be unlawful.

Not advice, and not an offer

Phakama Ntsika Partners (Pty) Ltd is not an authorised financial services provider under the Financial Advisory and Intermediary Services Act 37 of 2002, and nothing it sends is financial, investment, legal, accounting or tax advice, or an inducement to enter into any transaction. You should take your own advice before acting.

Nothing in an email from us is an offer to the public as contemplated in the Companies Act 71 of 2008, an invitation to subscribe for or acquire securities, or a participatory interest in a collective investment scheme as contemplated in the Collective Investment Schemes Control Act 45 of 2002. We do not operate a fund and none is being formed. Where capital is brought to a transaction it is by private arrangement with a limited number of identified parties, and it is subject to separate written documentation which prevails over anything said by email.

Where an email describes a business, a transaction or a return, the description is a summary given in good faith and is not a representation or a warranty. The past performance of any business is not a guide to its future performance.

No agreement is concluded by email

An email from us is a data message for the purposes of the Electronic Communications and Transactions Act 25 of 2002. No email, and no name typed at the foot of one, is intended as a signature, an electronic signature or an advanced electronic signature, and none of them binds the company or creates an agreement. We are bound only by a written agreement signed by a person authorised to sign it, and only from the date that agreement says. Negotiations conducted by email are conducted without prejudice.

An automated acknowledgement of receipt is not an acceptance of anything, and the absence of a reply is not agreement.

Monitoring and retention

Communications sent to and from our addresses may be recorded, retained and inspected for the security of our systems, for record keeping, and to meet our legal and regulatory obligations. We do this only to the extent the law allows and, where the Regulation of Interception of Communications and Provision of Communication-related Information Act 70 of 2002 requires consent, with the consent of the parties concerned.

The sender, and the security of email

Views expressed in an email are those of the sender and are not necessarily those of Phakama Ntsika Partners (Pty) Ltd unless the sender says so and is authorised to say it.

Email is not a secure medium. It can be intercepted, corrupted, delayed, lost, or arrive incomplete or carrying something harmful. We take reasonable care, but we do not accept liability for any loss caused by an email that has been changed, delayed or interfered with after it left us, and the recipient is responsible for scanning what they receive. If anything in a message about payment details or banking instructions looks different from what you expected, telephone the sender on a number you already hold and confirm it before acting. We will never notify you of a change of banking details by email alone.
